Affiliate Program Terms

MA Digitals Solution Inc. Last Updated: October 16, 2026

1. Introduction

This Affiliate Policy ("Policy") sets out the terms of the referral program (the "Program") operated by MA Digitals Solution Inc. ("Company", "we", "us", or "our") through www.madigitals.ca (the "Website"). Under the Program, a business that introduces a new client to us and whose referral results in paid work earns a commission, as described below.

By applying to, joining, or participating in the Program, the business and anyone acting for it (the "Affiliate", "you", or "your") agree to this Policy, together with our Terms and Conditions, Privacy Policy, and any written referral agreement between us (together, the "Agreement"). If there is a conflict, a signed referral agreement prevails.

This Policy is designed to comply with applicable law in Canada and the United States, including, where applicable:

  • Canada: the Competition Act (including its prohibition on false or misleading representations); Canada's Anti-Spam Legislation (CASL); the Personal Information Protection and Electronic Documents Act (PIPEDA) and provincial privacy laws; the Income Tax Act and Excise Tax Act (GST/HST); and Ad Standards' guidance on influencer and advertising disclosure.
  • United States: the Federal Trade Commission Act and the FTC's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255); the CAN-SPAM Act; the Telephone Consumer Protection Act (TCPA) and Do-Not-Call rules; state consumer protection and privacy laws; and the Internal Revenue Code.

3. Eligibility

  • The Program is open to registered businesses and professional organizations (such as agencies, consultants, freelancers operating as businesses, and complementary service providers). It is not open to individuals acting only in a personal capacity.
  • The Affiliate must be legally able to enter into contracts, be in good standing, and comply with all laws that apply to its business.
  • We may accept or decline any application at our discretion, and we may limit the Program by region.
  • Our employees, contractors, and their immediate family members, and our own clients referring themselves, are not eligible unless we agree in writing.

4. How the Program Works

  1. Apply: submit your business details to hello@madigitals.ca. We will confirm acceptance in writing.
  2. Refer: introduce us to a prospective client by email, or by submitting the prospect's name, company, and contact details, with the prospect's knowledge and permission, to hello@madigitals.ca.
  3. Registration: We will confirm in writing whether the referral is accepted as a new qualified lead and registered to you.
  4. Engagement: we propose, negotiate, and contract directly with the referred client. The scope, price, and terms of the project are set by agreement between us and the client.
  5. Commission: If the referred client signs and pays us, you earn a commission as set out in Section 5.

5. Commission

5.1 Rate

The Affiliate earns ten percent (10%) of the Net Amount (defined below) of fees actually received by us from a qualified referred client.

5.2 Net Amount

"Net Amount" means the amount of fees actually paid by the referred client to us for the project, after deducting:

  • Direct project expenses and third-party costs (such as hosting, domains, licences, software, plugins, stock media, contractor or subcontractor fees, and advertising spend paid to platforms).
  • Sales taxes and other government charges (such as GST/HST, PST, QST, or U.S. sales tax) collected on the client's payments.
  • Payment processing fees and bank charges.
  • Refunds, credits, discounts, chargebacks, and write-offs.

Commission is calculated on the actual price negotiated with and paid by the client, not on quoted or list prices. Because pricing is negotiated, we do not guarantee any minimum project value or commission.

5.3 Example

If a referred client pays us $10,000 and we incur $2,000 of third-party project costs, the Net Amount is $8,000 and the commission is $800 (10%), before any applicable taxes on the commission.

5.4 Qualified referral and duration

  • A referral is "qualified" if the prospect is a new client with no existing relationship, active discussion, or engagement with us within the previous [twelve (12)] months, and the referral is registered under Section 4.
  • Commission is earned on the first project and on repeat or additional work from that client for twelve (12)] months after the first payment / the first project only.
  • If two affiliates refer the same prospect, the first accepted registration applies.
  • Commission is earned only on payments actually received by us, and is paid proportionally as the client pays (for example, on deposits and milestones).

5.5 Recurring services

No Commission applies to recurring retainer or maintenance fees for the first [Twelve 12] months.

6. Payment of Commissions

  • Statement and timing: we will pay earned commissions within [thirty (30)] days after the end of the month in which we receive the client's cleared payment, with a short statement showing the client payment, deductions, Net Amount, and commission.
  • Method: payment is made by e-transfer, bank transfer, PayPal, or another method we agree in Canadian / U.S. dollars.
  • Minimum payout: Optional: commissions under $[50] roll over until the minimum is met.
  • Payment details: you must keep your contact, banking, and tax information current. We are not responsible for delays caused by incorrect information.
  • Records: you may request a reasonable summary of calculations for your referrals once per year. Client contracts, pricing, and confidential information will not be disclosed.
  • Clawback: if a client's payment is refunded, reversed, or charged back after we pay your commission, we may deduct the corresponding commission from future payments or require you to repay it.
  • No commission on non-payment: if the client does not pay, no commission is earned on the unpaid amount.
  • Claims: commission disputes must be raised in writing within [ninety (90)] days of the relevant statement.

7. Taxes and Independent Status

  • The Affiliate is an independent business and not an employee, partner, agent, franchisee, or joint venturer of the Company. You have no authority to bind us, make promises on our behalf, or quote prices.
  • You are solely responsible for all taxes on commissions, including income taxes and, if you are registered, GST/HST or other sales taxes, which you must charge and remit where required. We may ask for your GST/HST number, business number (BN), and invoices.
  • U.S. affiliates must provide a valid IRS Form W-9, and non-U.S. affiliates must provide the appropriate Form W-8. We may issue tax information slips (such as T4A, NR4, or Form 1099) where required, and we may withhold taxes if required by law or if you do not provide required forms.

8. Conduct and Marketing Rules

You must promote the Program honestly and lawfully. You must:

  • Be truthful: make only accurate statements about us and our Services. Do not guarantee results, rankings, pricing, timelines, or outcomes, and do not make claims we have not approved.
  • Disclose your relationship: clearly and conspicuously disclose that you may receive compensation for referrals, in plain language placed where people will see it before they act (for example, "We may earn a referral fee if you hire MA Digitals Solution Inc."), as required by the FTC Endorsement Guides, the Competition Act, and Ad Standards.
  • Respect privacy and consent: share a prospect's personal information with us only if you have their consent or another lawful basis.
  • Follow spam laws: do not send unsolicited commercial electronic messages. Any email, text, or direct message you send must comply with CASL and CAN-SPAM, identify the sender, and include an unsubscribe mechanism. Do not make autodialed or prerecorded calls in violation of the TCPA or Do-Not-Call rules.
  • Protect our brand: use our name and logo only as we approve in writing, and do not register confusingly similar domains, social accounts, or paid search terms that include our name.

You must not: use misleading or fake reviews, testimonials, or endorsements; impersonate us; offer rebates or discounts on our behalf; engage in self-referral or fraudulent referrals; use incentivized, bot, or deceptive traffic; promote through unlawful, adult, hateful, or deceptive content; or offer or accept bribes or improper payments in connection with the Program.

9. Confidentiality and Data Protection

  • Each party must keep the other's non-public business information confidential and use it only for the Program.
  • Personal information shared in a referral will be used by us as described in our Privacy Policy, to contact the prospect about the proposed Services. You are responsible for having consent to share it.
  • Each party will protect personal information with reasonable safeguards and notify the other promptly of any breach involving information exchanged under the Program, as required by law.

10. Intellectual Property

We grant you a limited, non-exclusive, revocable, non-transferable licence to use our name, logo, and approved marketing materials solely to promote the Program under this Policy. All rights remain with us, and the licence ends when your participation ends.

11. No Exclusivity; Our Discretion

The Program is non-exclusive. We may work with other referral partners, sell directly, and decline any prospect or project for business, legal, capacity, or conflict reasons. We control all aspects of our client relationships, including pricing, scope, and whether to proceed. A referral does not guarantee that a project will result.

12. Term and Termination

  • You may leave the Program at any time by written notice to hello@madigitals.ca.
  • We may suspend or terminate your participation immediately for breach of this Policy, misleading conduct, or conduct that may harm our reputation or violate law.
  • On termination, you must stop promoting us and using our materials. We will still pay commissions earned on qualified referrals that were registered before termination and paid for by the client within the applicable commission period, unless termination is for fraud, serious breach, or violation of law, in which case unpaid commissions may be forfeited.

13. Disclaimer and Limitation of Liability

The Program is provided "as is". To the fullest extent permitted by law, we make no warranty regarding earnings or referrals, and we are not liable for indirect, incidental, special, or consequential damages, including lost profits or opportunities. Our total liability under the Program is limited to the unpaid commissions you have validly earned. Nothing in this Policy limits liability that cannot be limited by law.

14. Indemnification

You agree to indemnify and hold harmless MA Digitals Solution Inc. and its directors, officers, and employees from claims, losses, and expenses (including reasonable legal fees) arising from your breach of this Policy, your marketing statements, your violation of law, or your sharing of personal information without proper authority.

15. Governing Law and Disputes

This Policy is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. The parties will first try to resolve any dispute through good-faith negotiation for thirty (30) days, failing which the courts of Ontario, sitting in Toronto, will have exclusive jurisdiction, except that either party may seek urgent injunctive relief in any competent court. [Align this with your Terms and Conditions.]

16. Changes to This Policy

We may update this Policy from time to time by posting the revised version on this page with a new "Last Updated" date, and by notifying active Affiliates by email of material changes. Changes apply to referrals registered after the effective date. Continued participation after changes means you accept them.

17. General

This Policy and any referral agreement form the entire agreement on the Program. If any provision is unenforceable, the rest remains in effect. You may not assign your rights without our written consent. Neither party's failure to enforce a right waives it. Notices to us must be sent to hello@madigitals.ca.
