Refund Policy
MA Digitals Solution Inc. Last Updated: [Insert Date]
1. Introduction
MA Digitals Solution Inc. ("Company", "we", "us", or "our") wants you to be satisfied with our digital services. This Refund Policy explains when refunds, cancellations, and credits are available for services purchased through www.madigitals.ca (the "Website") or under a written proposal, quotation, or statement of work (the "Services").
This Policy forms part of our Terms and Conditions. If a signed proposal or agreement contains different refund or cancellation terms, those specific terms apply to that project.
2. Legal Framework and Your Statutory Rights
This Policy is designed to comply with applicable consumer protection and commerce laws in Canada and the United States, including, where applicable:
- Canada: the Ontario Consumer Protection Act, 2002 and its rules for internet, direct, and future performance agreements; Quebec's Consumer Protection Act; the consumer protection statutes of other provinces and territories; the Competition Act; and the Electronic Commerce Act, 2000 (Ontario).
- United States: the Federal Trade Commission Act; the Restore Online Shoppers' Confidence Act (ROSCA); the FTC's rules on negative option and subscription practices; state automatic renewal laws (such as California's Automatic Renewal Law); and state consumer protection statutes.
Nothing in this Policy limits any rights you have under mandatory consumer protection laws that cannot be waived by contract. If those laws give you a greater right than this Policy, the law applies.
3. Who This Policy Applies To
Our Services are primarily provided to businesses and professionals. If you are purchasing for business purposes, this Policy and your written agreement govern. If you are an individual purchasing for personal, family, or household purposes (a "consumer"), you may also have statutory cancellation rights described in Section 10.
4. Our Satisfaction Commitment
We stand behind the quality of our work. If a Deliverable does not match the agreed scope or contains errors, we will correct it at no extra charge through the revision process described in our Terms and Conditions. A refund is generally considered only where we cannot reasonably resolve the issue through corrections or revisions.
5. Deposits and Milestone Payments
- Before work starts: if you cancel a project in writing before we begin any work, we will refund the deposit in full, less any non-recoverable third-party costs already paid on your behalf (such as domains, licenses, or stock assets).
- After work starts: deposits cover time reserved and work begun. Once work has commenced, the deposit is non-refundable, except as stated in this Policy or required by law.
- Milestone payments: payments for completed or approved milestones are non-refundable. Payments for a milestone not yet started may be refunded or credited on cancellation.
6. Cancellation by You (Project-Based Services)
You may cancel a project at any time by emailing hello@madigitals.ca. If you cancel after work begins, you will pay for:
- Work completed and Deliverables produced up to the cancellation date, calculated on a pro-rated basis of the project fee or at our hourly rates, as applicable.
- Non-cancellable third-party costs and commitments already incurred for your project.
- Any early termination fees stated in your written agreement.
Any prepaid amount exceeding these charges will be refunded. On final payment, we will provide you with the completed work to date.
7. Subscriptions and Recurring Services
This Section applies to monthly or annual services such as hosting, maintenance, support, SEO, social media management, or retainers.
- Disclosure and consent: the price, billing frequency, renewal terms, and how to cancel will be clearly disclosed before you purchase, and we will obtain your express consent to recurring charges.
- Auto-renewal: unless stated otherwise in your agreement, subscriptions renew automatically for successive periods equal to the initial term until cancelled.
- How to cancel: you may cancel at any time by emailing hello@madigitals.ca or using any online cancellation method we provide. We will confirm your cancellation in writing. You will not be charged for renewal periods that begin after the effective cancellation date.
- Notice: cancel at least [seven (7) / thirty (30)] days before your renewal date to avoid being charged for the next period. We will send a reminder before annual renewals where required by law.
- Refunds: fees for a period already started are non-refundable unless otherwise required by law, but your service will continue until the end of that paid period.
- Price changes: we will give advance notice of price increases, and you may cancel before the new price takes effect.
8. Non-Refundable Items
Unless a refund is required by law, the following are non-refundable:
- Completed and approved Deliverables, and work that has been delivered, published, or put into use.
- Third-party costs and licences, such as domain registrations, hosting, themes, plugins, software, stock images, fonts, and advertising spend paid to platforms (Google, Meta, etc.).
- Fees for consulting, strategy sessions, audits, and training that have already taken place.
- Services where you have requested custom work that has been substantially completed.
- Delays or outcomes caused by missing content, late approvals, or changes in scope by you.
- Marketing and SEO results: we do not guarantee rankings, traffic, leads, or sales, and a lack of a particular result is not by itself grounds for a refund.
9. When You May Be Eligible for a Refund
We will consider a full or partial refund where:
- We are unable to deliver the Services described in the agreement within a reasonable time after the agreed date, for reasons within our control.
- A material part of the Services is defective or not provided as agreed, and we have been given a reasonable opportunity to fix it and have not done so.
- You were charged in error, charged more than once, or charged after a valid cancellation.
- A refund is required by law.
Refunds are generally limited to the amount you paid for the specific Services affected.
10. Consumer Cancellation Rights
If you are a consumer, you may have additional rights under law, such as:
- Ontario: the right to cancel an internet agreement within seven (7) days after receiving a copy of the agreement if required information was not disclosed, or within thirty (30) days if the supplier does not provide the agreement copy; cancellation rights for direct agreements (generally ten (10) days) and for certain future performance agreements; and the right to a refund within fifteen (15) days of a valid cancellation.
- Quebec and other provinces: cooling-off periods and cancellation rights that vary by province and type of contract.
- United States: a limited number of federal and state rules provide cooling-off or cancellation rights for certain sales, and state automatic renewal laws allow you to cancel recurring services online or in the same manner you signed up.
These rights depend on the facts of your purchase and your location, and they may change. To exercise a statutory right, send written notice to hello@madigitals.ca, and we will process it as the law requires.
11. How to Request a Refund
To request a refund, email hello@madigitals.ca with:
- Your name, company, and the email used for your order.
- Your invoice number or project name.
- The reason for your request and any supporting details.
Please submit requests within [thirty (30)] days of the invoice date or delivery of the Services, unless the law gives you a longer period. We will acknowledge your request within [three (3)] business days and decide within [ten (10)] business days. We may ask for additional information.
12. How Refunds Are Paid
Approved refunds are issued to your original payment method where possible, or by another method we agree on. Processing typically takes [5 to 10] business days from approval, but your bank or card issuer may take longer to post it. Refunds do not include payment processing fees charged by third parties, unless required by law. Where a refund is made in a different currency, the amount depends on the exchange rate at the time of payment.
13. Chargebacks and Payment Disputes
We encourage you to contact us first so we can resolve billing concerns quickly. If you file a chargeback or payment dispute, we may provide the card issuer with relevant records, including invoices, agreements, and correspondence. Disputes that are found to be without basis may result in suspension of Services until resolved. This does not affect your rights to dispute a charge with your card issuer under applicable law.
14. Taxes
Where a refund is issued, applicable sales taxes (such as HST, GST, PST, or U.S. state sales tax) paid on the refunded amount will also be refunded, as required by law.
15. Changes to This Policy
We may update this Policy from time to time. The updated version will be posted on this page with a revised "Last Updated" date. Changes do not affect refund rights for purchases made before the change unless the law requires otherwise.
